Breadfruit Terms of Service
These terms govern your use of Breadfruit, the risk analytics service at breadfruit.eastmondparker.com (the "Service"), provided by Eastmond Parker LLC, a Delaware limited liability company ("Eastmond Parker," "we," or "us"). By creating an account, purchasing a plan or report, or using the Service, you agree to these terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.
1. Business use and eligibility
The Service is a professional tool offered to businesses and professionals, including banks, credit unions, investors, advisers, and researchers. It is not offered for personal, family, or household use. You must be at least 18 years old and able to enter a binding contract to use it.
2. Accounts
You are responsible for the accuracy of the information you give us, for keeping your password confidential, and for all activity under your account. Each account is for one named person. Sharing sign-in credentials, or using one account for several people, is not permitted; an organization that needs several users should hold a seat for each. Tell us promptly at hello@eastmondparker.com if you believe your account has been used without your authorization.
3. Plans, billing, and renewals
Breadfruit offers a free Starter plan and paid Professional and Enterprise subscriptions, billed per seat either monthly or yearly at the prices shown on the register page and your Account page. Payment is processed by Stripe; we do not see or store your card number. Subscriptions renew automatically at the end of each billing period until canceled. Prices may change with at least 30 days' notice by email, and a change takes effect at your next renewal after the notice period.
4. Cancellation and refunds
You may cancel a subscription at any time from Manage billing on your Account page. Cancellation stops future renewals; your paid features remain available until the end of the period you have already paid for, and the current period is not refunded. Moving from Professional to Enterprise starts the new subscription immediately and cancels the old one, with the unused portion credited against your next invoice by Stripe. One-time purchases, including the quarterly Watch List report, are not refundable once the download link has been sent.
5. What the Service is, and is not
Breadfruit produces estimates of CAMELS component and composite ratings, a BFS score, supervisory flags, a downgrade outlook, and related analytics, derived only from public quarterly regulatory filings and other public data. Official supervisory ratings are confidential and rest on examination work that public data cannot see. Breadfruit's outputs are estimates, are not official ratings, and must not be represented to anyone as official ratings or as the views of any regulator.
The Service provides information and analysis. It does not provide investment, legal, accounting, tax, or supervisory advice, and nothing in it is a recommendation to buy, sell, lend to, deposit with, acquire, or transact with any institution. You are responsible for your own decisions and for any professional advice you need. No fiduciary or advisory relationship is created by your use of the Service.
6. Data sources and accuracy
Financial data comes from the FDIC, the NCUA, the Federal Register, and other public sources, and is loaded as those agencies publish it. We work to keep the data current and the estimates sound, but public filings contain errors and revisions, agency systems change, and estimation involves judgment. The Service is provided "as is" and "as available," without warranty of accuracy, completeness, timeliness, or fitness for a particular purpose, to the fullest extent permitted by law.
7. Breadfruit.AI
Some plans include AI-assisted features that answer questions and draft narrative text from the figures on a page. These features use a third-party language model and are grounded in Breadfruit's own data, but they can still misread or misstate a figure. Review AI output before relying on it or passing it on. Daily usage allowances apply and are stated on the plan comparison.
8. Acceptable use
You may use the Service for your internal business purposes. You may not resell, sublicense, or provide the Service to third parties; scrape, crawl, or bulk-download its data or outputs by any automated means; build a competing product or a dataset from it; remove notices or attributions; probe or interfere with its security or operation; or use it in violation of law. Reports, exports, and PDFs you generate may be used within your organization and shared with your own clients, boards, and advisers with Breadfruit's attribution intact; they may not be published or redistributed as a product.
9. Intellectual property
The Service, including its methodology, models, software, design, text, and compilations of data, belongs to Eastmond Parker and its licensors and is protected by intellectual property law. Public regulatory data remains public. You receive a limited, non-exclusive, non-transferable right to use the Service under these terms, and no other rights. Feedback you give us may be used without obligation to you.
10. Availability and changes
We may change, add, or remove features, and may suspend the Service for maintenance or for reasons outside our control. We aim to give notice of material changes to paid features. If we discontinue a paid plan, we will refund any prepaid amount for the period after discontinuation.
11. Termination
You may close your account at any time by emailing hello@eastmondparker.com. We may suspend or terminate an account that breaches these terms, that has not paid amounts due, or whose use creates risk for the Service or other users; where practical we will tell you why. Sections 5, 6, 9, 12, 13, and 14 survive termination.
12. Limitation of liability
To the fullest extent permitted by law, Eastmond Parker will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost business, or loss of data, arising from or relating to the Service, however caused. Our total liability for all claims relating to the Service in any twelve-month period will not exceed the amount you paid us for the Service in that period, or one hundred dollars if you paid nothing. These limits apply even if a remedy fails of its essential purpose.
13. Indemnification
You will defend and indemnify Eastmond Parker and its members, managers, and employees against claims, losses, and expenses, including reasonable legal fees, arising from your breach of these terms, your use of the Service, or any representation you make to a third party based on Breadfruit's outputs.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from these terms or the Service will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction. Each party waives any right to a jury trial, and claims must be brought individually and not as part of a class or representative action.
15. Changes to these terms
We may update these terms from time to time. Material changes will be announced by email or a notice in the Service at least 14 days before they take effect; continued use after that date is acceptance. The date at the top shows the current version.
